  • This Public Offering Agreement ("Agreement") is between PIXELTIDE LLC ("Company," "We," "Us," or "Our"), and the user of the services ("You," "Your," or "Client"). By accessing and using Our platform at https://flowersmarket.us, You agree to the terms and conditions of this Agreement.

  • 1. Services Overview

  • PIXELTIDE LLC operates a marketplace that connects retail flower shops ("Clients") with wholesale flower plantations ("Suppliers"). Through Our website, You can browse and purchase flowers directly from plantations. Once You submit and pay for Your order, it is sent to the appropriate Supplier, who will confirm the order and fulfill it.

  • 2. Order Process

  • Browsing & Selection: Clients can browse available flower options from various Suppliers.Placing an Order: Once You select the desired flowers, You add them to Your cart and proceed to checkout.
  • Payment: You must complete the payment for the order on the platform using one of the provided payment methods. Payment is required before the order is sent to the Supplier.Order Confirmation: After the payment is made, Your order is sent to the Supplier for confirmation. The Supplier reserves the right to accept or reject the order based on availability or other factors.
  • Fulfillment: Once the Supplier confirms the order, they are responsible for delivering the product as agreed. Delivery terms may vary depending on the Supplier and location.

  • 3. Role of PIXELTIDE LLC

  • PIXELTIDE LLC acts solely as an intermediary between Clients and Suppliers. Our role is to facilitate the connection, communication, and transaction between the two parties. We are not responsible for the actual provision, quality, or delivery of the flowers. All liability regarding the product's condition and delivery rests with the Supplier.

  • 4. Pricing & Fees

  • Product Prices: The prices displayed on Our platform are set by the Suppliers and may vary depending on the product, location, and availability.
  • Commission: PIXELTIDE LLC takes a commission for facilitating the transaction. This commission is included in the final price of the flowers, and no additional fees will be charged to the Client.
  • Taxes: You are responsible for paying any applicable sales taxes or similar fees in connection with Your purchase.

  • 5. Cancellations & Refunds

  • Order Cancellations: Orders can only be canceled prior to the Supplier’s confirmation. Once the Supplier confirms the order, it is considered final, and cancellation may not be possible.Refund Policy: Refunds are handled on a case-by-case basis. If the product is not delivered as agreed or is of unacceptable quality, You may submit a claim, and We will work with the Supplier to resolve the issue. Refunds may be granted at Our discretion, depending on the circumstances.

  • 6. Disclaimers & Limitation of Liability

  • No Guarantees: We make no warranties or guarantees regarding the availability, quality, or condition of the flowers provided by the Suppliers. All products are sold "as is."Limitation of Liability: To the maximum extent permitted by law, PIXELTIDE LLC will not be held liable for any direct, indirect, incidental, or consequential damages arising from Your use of the platform or the services provided by Suppliers.

  • 7. Indemnification

  • You agree to indemnify and hold PIXELTIDE LLC harmless from any claims, damages, or losses resulting from Your use of the platform, including but not limited to disputes with Suppliers.

  • 8. Governing Law

  • This Agreement will be governed by and construed in accordance with the laws of the United States and the State of California. Any legal actions or disputes arising from this Agreement must be filed in the courts located within California.

  • 9. Modifications to Terms

  • PIXELTIDE LLC reserves the right to modify this Agreement at any time. Any changes will be posted on the platform, and Your continued use of the services constitutes acceptance of the revised terms.
